IMPORTANT NOTICE REGARDING SMS AND EMAIL COMMUNICATIONS

Opulend LLC does NOT share customer opt-in information, including phone numbers and consent records, with any affiliates or third parties for marketing, promotional, or any other purposes unrelated to providing our direct services. All SMS and email originator opt-in data and consent records are kept strictly confidential.

1. Acceptance of Terms

This website (the "Site") and all related services, communications, and platforms are owned and operated by Opulend LLC ("Opulend," "Company," "we," or "us"), a Delaware limited liability company registered to do business in the State of Florida, with principal offices at 11440 Bayshore Dr N, Miami, FL 33181, and a business presence at 1115 Broadway, 12th Floor, New York, NY 10010.

By accessing or using the Site in any manner — whether automated or otherwise — submitting an application, engaging with any content, interacting with any form, link, email, or SMS communication sent or received in connection with Opulend's services, or becoming a client of Opulend, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms that may apply to specific programs or services offered through the Site.

If you do not agree to these Terms in their entirety, you must immediately discontinue all use of the Site and all communications with Opulend. Continued use following any posted modifications constitutes acceptance of the revised Terms.

2. Description of Services

Opulend is an SBA-aligned business funding facilitation company. We are not brokers. We do not charge commissions or fees of any kind to our clients. Opulend works directly with and in alignment with the U.S. Small Business Administration (SBA) and select private banking partners to provide eligible businesses with access to:

SBA 7(a) and 504 government-backed loan programs

Exclusive Offset Loans — credit lines up to $2 million with automatic daily interest reduction

Government grants — free funding that does not require repayment

Lines of credit, equipment financing, and invoice factoring

Merchant Cash Advance (MCA) loans, offered as a last-resort option with active transition support to better funding structures

Opulend also provides complementary advisory services including credit improvement guidance, SBA application preparation and submission support, and connections to banking partners with exclusive program access. These services are provided free of charge to clients. No representation is made that any applicant will receive a specific funding amount, approval, interest rate, or loan term. All funding decisions are subject to eligibility determinations, underwriting review, and lender or agency approval, which are outside Opulend's control.

3. SBA Alignment and Government Relationship Disclaimer

Opulend works in alignment with the U.S. Small Business Administration and maintains relationships with SBA-approved lending partners. Opulend is not a government agency, is not officially designated as an SBA lender, and does not represent the SBA. References to government-aligned programs reflect Opulend's operational relationships with SBA-approved institutions and access to SBA-guaranteed loan programs through those institutions. No implication of official government endorsement, sponsorship, or guarantee is made or should be inferred.

4. Eligibility

Use of the Site and Opulend's services is available to businesses that: (a) are legally registered and operating entities within the United States; (b) are operated for profit; (c) meet applicable size and industry standards; and (d) are represented by an authorized individual who is at least 18 years of age. Opulend reserves the right to decline applications or terminate service relationships at its sole discretion, without obligation to provide a reason.

5. No-Fee Commitment

Opulend charges no commissions, referral fees, origination fees, packaging fees, or broker fees of any kind to its clients in connection with the facilitation of funding. This commitment is a core element of Opulend's service model. Any fees that may be assessed in connection with a funded loan — such as SBA guarantee fees charged by the SBA or origination fees charged by a lender — are fees imposed by third parties, not by Opulend, and will be disclosed during the application process.

6. Communications Consent — SMS, Email, and All Channels

6.1 Broad Consent by Use

By accessing the Site, submitting any inquiry, application, or form, clicking any link in an Opulend communication, replying to any email or text message from Opulend, or engaging with Opulend as a client, you expressly consent to receive communications from Opulend via SMS/text message, email, phone call, and any other communication channel through which you have made contact, for any purpose related to Opulend's services, including but not limited to:

Funding application status updates and document requests

Consultation scheduling, confirmations, reminders, and follow-ups

Credit guidance and program eligibility updates

Promotional communications about programs, rates, and available funding options

Service-related notices and administrative communications

Any other communications reasonably related to Opulend's business

This consent is granted upon first meaningful interaction with Opulend and remains in effect until you affirmatively opt out as described below. You need not be an existing client to be subject to this consent framework; any interaction with the Site or its content constitutes agreement to these Terms and this communications consent.

6.2 SMS Program Terms

By opting in to Opulend's SMS program — whether through a web form checkbox, reply to an Opulend message, verbal consent, or any other interaction with the Site or Opulend's services — you agree to receive text messages from Opulend on the number you provide. Opulend maintains timestamped records of all opt-in events. Message frequency varies based on your interactions and program status. Standard message and data rates may apply.

Opulend's SMS program is supported by all major U.S. wireless carriers, including AT&T, T-Mobile, Verizon, Sprint, and most regional carriers. Carriers are not liable for delayed or undelivered messages.

No mobile opt-in information, including phone numbers and consent records, will be shared with any third party or affiliate for marketing or promotional purposes. Information may be shared with subcontractors who directly support SMS delivery services. All other use cases exclude SMS originator opt-in data and consent.

6.3 Opt-Out

You may opt out of SMS communications at any time by replying STOP to any Opulend text message. You will receive a confirmation message, after which no further SMS messages will be sent unless you re-opt-in. To opt out of email communications, click the unsubscribe link in any Opulend email. Opt-out applies only to the specific channel and does not affect your ability to receive legally required notices or communications directly necessary to service an active funding arrangement.

7. Application Submissions and User Representations

By submitting a funding application or any information through the Site, you represent and warrant that: (a) all information provided is accurate, complete, and not misleading; (b) you are authorized to submit information on behalf of the business represented; (c) you have not omitted any material information that would affect Opulend's or a lender's assessment of the application; and (d) you will promptly notify Opulend of any material changes to submitted information.

You agree to indemnify, defend, and hold harmless Opulend LLC, its affiliates, officers, directors, agents, and employees from any and all claims, damages, liabilities, costs, and expenses — including reasonable attorneys' fees — arising from or related to any misrepresentation, omission, or unauthorized submission in connection with your application or use of the Site.

8. Intellectual Property

8.1 Opulend's Rights

The Site and all content, materials, software, data, text, graphics, logos, and branding available on or through it are the exclusive property of Opulend LLC and/or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. All rights are reserved.

You may not reproduce, republish, distribute, transmit, sell, create derivative works from, or otherwise exploit any material from the Site without express prior written authorization from Opulend. You may print or download a single copy of individual pages solely for your personal, non-commercial reference, provided all copyright and proprietary notices are maintained intact.

8.2 Your License to Opulend

By submitting any material to Opulend via the Site — including without limitation business information, documents, photos, feedback, or communications — you represent that you own or have all necessary rights to such material, and you grant Opulend a royalty-free, perpetual, irrevocable, non-exclusive, worldwide license to use, process, transmit, store, and derive insights from such material in connection with providing its services and improving its programs.

THE SITE AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. OPULEND DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Opulend makes no representation or warranty that any application will result in funding approval, or that any particular rate, term, or amount will be available. All third-party lender and SBA determinations are independent of Opulend. Third-party links on the Site do not constitute an endorsement of any third-party product, service, or information.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPULEND LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, ANY APPLICATION SUBMISSION, OR ANY FUNDING DECISION BY A THIRD-PARTY LENDER OR THE SBA, EVEN IF OPULEND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OPULEND'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

11. Online Commerce and Third-Party Services

Certain features of the Site may involve or link to third-party services, tools, or vendors. Opulend is not responsible for the quality, accuracy, availability, or terms of any third-party service. Any information exchanged with third-party services — including payment or identity information — may be subject to that third party's own terms and privacy policies. Opulend shall not be liable for any loss or damage arising from your interaction with third-party services.

12. Account Registration

Where account creation is required to access certain features of the Site, you agree to: (a) provide accurate and current registration information; (b) maintain the confidentiality of your login credentials; and (c) accept responsibility for all activities conducted under your account. Report any unauthorized access to [email protected] immediately. Opulend is not liable for losses resulting from unauthorized account access attributable to your failure to maintain credential security.

13. Prohibited Uses

You agree not to use the Site or Opulend's services to: (a) submit false, misleading, or fraudulent information; (b) engage in any unauthorized automated access, scraping, or data mining; (c) interfere with the Site's technical infrastructure; (d) impersonate any person or entity; (e) violate any applicable federal, state, or local law; or (f) engage in any activity that damages, disrupts, or impairs Opulend's systems, reputation, or business relationships.

14. Termination

Opulend reserves the right to terminate or suspend your access to the Site and services, with or without notice, for any violation of these Terms, for conduct Opulend deems harmful to its clients, partners, or business, or for any other reason at Opulend's sole discretion. Upon termination, all licenses granted under these Terms immediately cease and you must discontinue all use of the Site and its content.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed exclusively in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions, consistent with Opulend LLC's formation as a Delaware limited liability company. This choice of law applies to all claims arising under or related to these Terms, including contract, tort, and statutory claims.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or Opulend's services shall be resolved exclusively through binding arbitration administered under the rules of the American Arbitration Association (AAA) in effect at the time of the dispute. Arbitration shall be conducted in Miami-Dade County, Florida, or via remote proceeding. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

YOU AND OPULEND EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING OF ANY KIND. All claims must be brought in your individual capacity.

16. Changes to Terms

Opulend reserves the right to modify these Terms at any time. Updated Terms will be posted on the Site with a revised effective date. Your continued use of the Site or services following any modification constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically

17. Entire Agreement and Severability

These Terms, together with Opulend's Privacy Policy, constitute the entire agreement between you and Opulend with respect to your use of the Site and services, and supersede all prior or contemporaneous communications and proposals. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
